GENERAL TERMS AND CONDITIONS
GGS is a trading name of GGS Photo Graphics Ltd. The products and services provided by GGS to their Clients are governed by the following general terms. Any variation must be agreed in writing between GGS and the Client.

In placing an order with GGS, the Client is agreeing to the following terms and conditions. Any verbal agreements which do not conform to the present terms of business will be deemed not binding on GGS unless it has been confirmed in writing by GGS to the Client.

Terms of Payments
Our terms are payment on completion (or prior to delivery) unless a client has a recognised credit account, which is strictly nett 30 days from date of invoice. There is a minimum invoice charge of £10.00 on all invoices. A credit account will only be opened upon completion of an Account Application form and receipt of satisfactory trade references.

Charges
We reserve the right to alter published fees without prior notice at any time and fees quoted are valid for a period of 30 days. All fees are subject to VAT at the current rate

Copyright
All images, computer discs, artwork and designs will remain the property of GGS and will be clearly filed, stored at our studios and logged on a computer for future reorders. As a result of the Copyright and Design Act 1988, copyright of all work since 1990 is vested in GGS. Clients automatically have permission to use work produced by GGS for any legal purpose in their business or, in the case of agencies, their clients business. This permission will be withdrawn if the fees relating to the original commission are not paid within our normal terms of business. Original work produced by GGS may not be sold to a third party without prior permission from GGS. If clients need to purchase the copyright outright, an additional negotiable charge will be made. GGS retains the right to use work produced in portfolios and promotional material for GGS.

It is a criminal offence under the Copyright, Design and Patents Act 1988 to infringe Copyright and it is the duty of all clients to ensure that material placed with us for processing is free from copyright claims and to indemnify us against any such claims. No material will be accepted unless accompanied by either:

1. The clients certificate that the work is out of copyright or that the client owns the copyright,
or -
2. The Copyright owners written consent.

In the event that any material is accepted by us without either of the above, the Client shall be deemed, by requesting us to process such material, to be certifying that the work is free from copyright claims.

Sizes
All sizes quoted are nominal unless prints are ordered to specific measurements.

Title
Notwithstanding delivery of or passing of risk in them, all products or goods supplied by GGS to the Client shall remain the property of GGS until the products or goods are paid for in full. Until such payment is made, the Client shall immediately return any such products or goods to GGS if it so requests.

Delivery
All work undertaken by GGS for the Client and any goods purchased by prior arrangement may be collected or will be delivered by a carrier selected by GGS. The risk in the said work, products or goods will pass to the Client when he/she is advised that they are ready for collection/delivery. GGS, will at all times, endeavour to deliver the Client’s work at the pre-arranged time. In the event of unforeseen circumstances, GGS will make alternative arrangements for delivery. GGS will not be held responsible for delay, loss or damage to the goods in transit. In the event of any such goods being lost or damaged and at the discretion of GGS, the value of the goods may be credited or, where the goods were films, the replacement of equivalent unexposed films supplied.

Colour Matching
GGS will, at all times, endeavour to work to the Client’s colour requirements. However, due to the limitations of printing processes, it is impossible to guarantee precise matching of originals even with the most modern equipment. In order that GGS can be as exact as possible, colour guides should be enclosed. If colour guides are not enclosed, colour matching will be at the discretion of GGS.

Complaints
Any complaint will be dealt with immediately but we cannot accept responsibility or liability for any damage, discrepancies, shortages, once 48hours has elapsed from receipt of goods. All complaints must be made in writing. Any invoice queries relating to fees & charges must be made in writing within 14 days of date of invoice.

Damage & Consequential Loss
Whilst every care is taken with client’s materials, we accept work on the understanding that we are not liable for more than the value of the unexposed film, original disc or video tape. Responsibility will not be accepted for consequential loss or damage caused by errors, by delay in delivery or from any cause.

Insurance
Where valuable items (e.g. original prints, negatives, products etc.) are placed with GGS, it is advised that the Client effects his/her own insurance. GGS will not be held liable for any damage or loss of said items.

Force Majeure
Every effort will be made to carry out any contract or order based on a quotation, but the due performance of it is subject to variation or cancellation owing to an Act of God, War, Strikes, Lock-outs, Fire, or any other cause beyond control, or owing to the inability to procure materials or articles except at increased prices due to any of the foregoing causes.

Law
The contract between the Client and GGS will be subject to English law and the Client hereby submits to the jurisdiction of the English Courts.
